PrimeSpring Group is currently not VAT registered.
PrimeSpring Group maintains business insurance including public liability cover of up to £6 million, subject to the terms, exclusions and limits of the applicable insurance policy.
Definitions
“PrimeSpring Group”, “PrimeSpring”, “we”, “us” or “our” means the Scottish business partnership trading as PrimeSpring Group.
“Customer” or “you” means the individual, business or organisation purchasing or agreeing to purchase our Services.
“Consumer” means an individual acting wholly or mainly outside their trade, business, craft or profession.
“Business Customer” means a person, partnership, company, public body, charity or other organisation purchasing Services wholly or mainly for business or organisational purposes.
“Services” means cleaning, PrimeWash or other related services agreed between PrimeSpring Group and the Customer.
“Service Agreement” means any separate written commercial contract or service agreement entered into between PrimeSpring Group and a Customer.
Where a separate Service Agreement has been entered into with a Business Customer, it will apply together with these Terms. Where there is a conflict, the specifically negotiated written terms of the Service Agreement will normally take precedence.
Quotations
PrimeSpring Group quotations are normally valid for 7 days from the date of issue, unless a different validity period is stated on the quotation.
Quotations are based on the information available to us when they are prepared and may be subject to a site assessment where appropriate.
Customers must provide accurate information concerning the property or premises, including its size and condition, cleaning required, access arrangements, known hazards, specialist equipment, unusual contamination or soiling, parking or access restrictions, and other matters that could reasonably affect the work.
If, upon arrival or inspection, the work is materially different from what was described, PrimeSpring Group may discuss an adjustment to the price, scope or time required.
Any material additional charge will be communicated and agreed before additional work is undertaken where reasonably practicable.
Bookings
All bookings are subject to availability.
A booking becomes confirmed when PrimeSpring Group accepts it by email, telephone, text message, booking system or another agreed method.
The Customer is responsible for ensuring that the booking information provided is accurate.
Confirmation of a booking does not automatically include work outside the agreed scope. Additional work requested by the Customer may result in an additional charge.
£50 Advance Payment for Applicable Domestic Services
For applicable domestic or in-home bookings, PrimeSpring Group may require a minimum £50 advance payment before allocating and sending a member of staff to the job.
The £50 is not an additional charge. It forms part of the agreed service price and will be deducted from the balance payable following completion of the work.

Total service price: £275
For example, where the agreed service price is £275 and the Customer has paid £50 in advance, the remaining balance would ordinarily be £225.
The £50 is not automatically non-refundable. Where a Consumer cancels, any amount retained from an advance payment will be subject to the Consumer's statutory rights and the cancellation provisions contained in these Terms.
Provision of Services
PrimeSpring Group will provide the Services described in the applicable quotation, booking confirmation or Service Agreement.
We will carry out Consumer Services with reasonable care and skill and in accordance with applicable legal obligations.
The exact scope of each service will depend upon what has been agreed with the Customer.
Unless expressly included, specialist cleaning, specialist equipment cleaning, hazardous-material treatment and other work outside the agreed scope are not automatically included in a standard cleaning booking.
Domestic / Consumer Payment
Unless otherwise agreed in writing, the remaining balance for a domestic service is due upon completion of the agreed Services.
Approved payment methods may include bank transfer, debit or credit card where available, and other payment methods expressly accepted by PrimeSpring Group.
Any additional charges must be properly communicated and agreed where required.
Because PrimeSpring Group is not currently VAT registered, VAT will not be added to invoices unless PrimeSpring Group subsequently becomes VAT registered.
Business Customer Payment
Business Customers will pay according to the payment terms contained in their quotation, invoice or Service Agreement.
PrimeSpring Group's typical B2B payment term is payment within 7 days of invoice, unless otherwise agreed.
Different payment arrangements may be negotiated for larger commercial clients.
PrimeSpring Group reserves the right, where legally and contractually permitted, to suspend future Services where undisputed invoices remain materially overdue after appropriate notice.
Important Consumer Information
Statutory Cancellation Rights
This section applies to Consumers.
Where an eligible service contract is entered into online, by telephone or away from PrimeSpring Group's business premises, the Consumer may have a statutory right to cancel the contract during a 14-day cancellation period without giving a reason.
For service contracts, the statutory period generally begins the day after the contract is entered into.
These statutory rights take priority over PrimeSpring Group's ordinary cancellation policy where applicable.
Starting work during the cancellation period. Where applicable law requires it, PrimeSpring Group will obtain the Consumer's express request to begin providing the Services during the cancellation period.
If the Consumer cancels after requested Services have begun, they may be required to pay an appropriate amount for Services properly provided up to the point of cancellation, subject to applicable statutory requirements.
Where the Services have been fully performed following the required express request and acknowledgement, the Consumer may lose the statutory right to cancel once full performance has occurred.
PrimeSpring Group will provide applicable cancellation information and a cancellation form where required.
PrimeSpring Standard Cancellation Policy
Cancellation Notice
- 7+ DAYS
- No cancellation charge.
- 3–6 DAYS
- A reasonable cancellation charge of up to 50% may apply, subject to applicable Consumer rights and reasonable losses.
- LESS THAN 72 HOURS
- A reasonable cancellation charge may apply based on the circumstances and losses reasonably incurred.
- NO-SHOW / NO ACCESS
- A reasonable charge may apply where PrimeSpring attends but cannot gain access due to circumstances within the Customer's control.
Statutory Consumer cancellation rights take priority where applicable.
7 or more days' notice: No cancellation charge.
3-6 days' notice: A reasonable cancellation charge of up to 50% of the agreed service price may apply, subject to applicable Consumer rights and the losses reasonably resulting from the cancellation.
Less than 72 hours' notice: A reasonable cancellation charge may apply based upon the circumstances and losses reasonably incurred by PrimeSpring Group.
No-show or no access: Where PrimeSpring staff attend a confirmed appointment but cannot reasonably gain access due to circumstances within the Customer's control, a reasonable charge may apply.
For Consumers, cancellation charges will not be imposed merely as a penalty and should reflect legitimate losses resulting from the cancellation, taking account where appropriate of costs saved or the opportunity to provide services to another customer.
Rescheduling
A Customer may request that an appointment be rescheduled.
Where at least 7 days' notice is provided, PrimeSpring Group will normally reschedule the appointment without a rescheduling charge, subject to availability.
Where less notice is provided, PrimeSpring Group will make reasonable efforts to accommodate the change.
A reasonable charge may apply where a short-notice change causes PrimeSpring Group a genuine or reasonably unavoidable cost.
Recurring Cleaning Services
Weekly, fortnightly, monthly or other recurring cleaning arrangements will be provided at the frequency agreed with the Customer.
The applicable price, payment arrangements and cancellation or termination requirements will be set out in the quotation or Service Agreement.
Notice required to end a recurring service will be as stated in the applicable Service Agreement.
Any minimum term applicable to a Consumer must be clearly disclosed before the Consumer enters into the agreement and remains subject to applicable consumer law.
Larger Commercial Contracts
PrimeSpring Group may offer larger organisations longer-term cleaning and facilities-support arrangements.
Where appropriate, PrimeSpring Group may seek a minimum initial contract period of six months.
The actual minimum term must be expressly stated in and agreed through the relevant commercial Service Agreement. Longer terms, including 12-month arrangements, may also be agreed.
A six-month minimum term is not automatically imposed on every Business Customer merely by these website Terms; it applies only where expressly agreed.
Monthly Commercial Billing
For larger Business Customers, the total agreed contractual value may be divided into predictable monthly payments.
For example, where a commercial contract has an agreed annual value, the parties may agree for that amount to be divided into 12 monthly instalments rather than requiring payment of the entire annual amount upfront.
Unless otherwise specified in the Service Agreement: the agreed monthly amount becomes payable at the end of the applicable monthly billing cycle; the Customer must pay the full undisputed contractual amount due for that billing period; temporary changes in the Customer's turnover, profitability, financial performance or internal business conditions do not by themselves alter the agreed monthly contractual price; any change to the contractual price must be agreed in accordance with the Service Agreement; and rights concerning disputed invoices, material service failures, termination and applicable law remain unaffected.
PrimeWash
PrimeWash Services is a specialist service of PrimeSpring Group and is not a separate legal entity.
PrimeWash may provide Commercial Kitchen Cleaning, Industrial Kitchen Cleaning, Bakery Equipment Cleaning, Kitchen Equipment Cleaning, Food Production Cleaning, Pot & Pan Washing Services, Tray & Utensil Cleaning, Industrial Dishwashing Services and Catering Equipment Cleaning.
PrimeWash is available to both Business Customers and Consumers where appropriate.
The exact Services provided will be specified in the applicable quotation or Service Agreement.
PrimeWash Commercial Contracts and Payment
For larger PrimeWash commercial contracts, PrimeSpring Group does not normally require the domestic £50 advance payment.
Instead, the parties may agree a recurring commercial arrangement under which Services are provided throughout the applicable billing period and the agreed monthly amount is invoiced at the end of that period.
For an annual PrimeWash contract, the total agreed contract value may be divided into 12 monthly instalments.
PrimeSpring Group may seek an initial minimum contractual commitment of six months or more, but any such minimum term must be expressly agreed in the Service Agreement.
Payment dates will be those specified in the applicable invoice or Service Agreement.
PrimeWash Customer Responsibilities
Customers using PrimeWash must provide accurate information concerning the type of kitchen or food environment, equipment to be cleaned, manufacturer-specific cleaning restrictions known to the Customer, food-production procedures relevant to the work, known hazards, chemicals and substances present, access restrictions, shutdown requirements and other site-specific requirements that could reasonably affect the Services.
PrimeSpring Group does not currently claim a specific third-party food-safety accreditation or certification for PrimeWash.
Nothing on the website or in these Terms should represent PrimeWash as certified, accredited or approved by a particular regulatory or third-party body unless PrimeSpring Group subsequently obtains and maintains that accreditation.
Customer Responsibilities
Customers must provide safe and reasonable access to the property or premises.
Before Services begin, Customers should tell PrimeSpring Group about known hazards, asbestos or suspected asbestos, needles or sharps, biological hazards, hazardous substances, significant pest infestations, dangerous animals, fragile or unusually valuable items, restricted areas, alarm systems, access procedures and special requirements.
Customers should appropriately secure money, jewellery, confidential information and other particularly valuable items before cleaning begins.
Keys, Alarm Systems and Access
Where the Customer provides keys, access codes, alarm details or other access information, PrimeSpring Group will take reasonable steps to safeguard them.
Customers must provide accurate instructions regarding access and alarm procedures.
PrimeSpring Group personnel must only use Customer facilities, equipment or property as reasonably necessary and authorised for carrying out the Services.
More detailed requirements may be governed by PrimeSpring Group's Client Asset Management and access procedures.
Customer Equipment and Facilities
Where it has been agreed that PrimeSpring personnel may use Customer-owned equipment or facilities, those items must be reasonably safe, suitable and operational.
This may include agreed use of water supplies, electrical outlets, sinks, washing facilities, toilets, ladders or access equipment, Customer cleaning equipment and other facilities reasonably necessary to perform the work.
PrimeSpring Group may refuse to use Customer equipment that its personnel reasonably consider unsafe or unsuitable.
Health & Safety
PrimeSpring Group is committed to conducting Services with appropriate regard to health and safety.
Customers must disclose known hazards before work begins.
PrimeSpring personnel will not be required to undertake work presenting a serious or uncontrolled health or safety risk.
PrimeSpring Group may pause, modify or refuse Services where it reasonably considers conditions unsafe.
Where reasonably practicable, PrimeSpring Group will explain the issue and discuss whether the risk can be adequately controlled before work resumes.
Service Quality and Complaints
PrimeSpring Group aims to provide professional Services to a high standard.
Customers who believe a Service has not been completed satisfactorily should contact PrimeSpring Group as soon as reasonably practicable, preferably within 24 hours, to enable us to investigate promptly.
The 24-hour period is a request for prompt notification. It does not remove or restrict a Consumer's statutory rights.
Where appropriate, PrimeSpring Group may inspect the work and may offer to return within a reasonable period to address an identified issue.
Any appropriate remedy will depend upon the circumstances and applicable legal rights.
Damage and Breakages
PrimeSpring Group will take reasonable care when working at Customer premises.
Customers should notify us as soon as reasonably practicable if they believe PrimeSpring Group has caused damage.
When investigating a report, PrimeSpring Group may consider the item's prior condition, pre-existing defects, normal wear and tear, manufacturer instructions, information previously provided by the Customer, photographs or other records, and the circumstances of the incident.
PrimeSpring Group is not responsible for damage it did not cause, including pre-existing damage or ordinary wear and tear.
Liability
Nothing in these Terms excludes or restricts liability where doing so would be unlawful.
In particular, these Terms are not intended to remove Consumer rights that cannot lawfully be excluded or to exclude liability for death or personal injury caused by negligence where such exclusion is prohibited.
PrimeSpring Group maintains appropriate business insurance, including public liability cover of up to £6 million, subject to the applicable insurance policy's terms, exclusions and limits.
Events Outside Reasonable Control
PrimeSpring Group may occasionally be prevented or delayed from providing Services because of circumstances outside its reasonable control.
These may include severe weather, transport disruption, utility failures, unsafe site conditions, significant staff emergencies, government or emergency restrictions, or other circumstances that could not reasonably have been prevented.
Where this occurs, PrimeSpring Group will make reasonable efforts to notify the Customer and, where appropriate, arrange an alternative appointment.
Where a prepaid Service cannot be provided, any refund, credit or alternative arrangement will be dealt with in accordance with the Customer's applicable contractual and statutory rights.
Suspension or Termination of Services
PrimeSpring Group may suspend or terminate Services for a legitimate reason, including serious health or safety risks; threatening, abusive or discriminatory conduct towards staff; repeated failure to provide agreed access; material or repeated non-payment; suspected unlawful activity affecting the Services; or serious or repeated breach of an applicable Service Agreement.
Where appropriate, PrimeSpring Group will provide reasonable notice and an opportunity for the Customer to remedy the problem.
Immediate suspension may be necessary where there is a serious health, safety, legal or security risk.
Customers may terminate ongoing Services according to their applicable Service Agreement, these Terms and any statutory rights.
Website Use
PrimeSpring Group's website provides information about our business and Services.
While reasonable efforts will be made to keep information accurate and current, PrimeSpring Group does not guarantee that the website will always be uninterrupted or entirely free from technical errors.
Information on the website does not override a specifically agreed quotation or Service Agreement unless expressly incorporated into it.
Intellectual Property
PrimeSpring Group's branding, logos, original website content, photographs owned by PrimeSpring Group, written materials and other intellectual property may not be commercially reproduced without permission except where permitted by law.
Third-party materials remain the property of their respective owners.
Privacy and Personal Information
PrimeSpring Group will process personal information in accordance with applicable UK data-protection requirements and its separate Privacy Policy.
Personal information provided through quote forms, call-back requests, contact forms, bookings, contracts and customer communications will be handled for appropriate business purposes and as explained in the Privacy Policy.
The website should provide a clearly accessible link to the current PrimeSpring Group Privacy Policy.
Changes to These Terms
PrimeSpring Group may update these Terms from time to time.
The version normally applicable to a booking is the version in force when that booking or contract was accepted.
Changes to website Terms will not automatically rewrite an existing Customer contract unless the Customer agrees, applicable law requires the change, or an existing contractual provision lawfully permits the change.
Governing Law and Disputes
These Terms are governed by the laws of Scotland.
PrimeSpring Group encourages Customers to contact us first if a dispute occurs so that we have a reasonable opportunity to investigate and seek a resolution.
Nothing in this clause removes any mandatory Consumer rights concerning applicable law, jurisdiction or where legal proceedings may be brought.
